Prepare brownie mix using oil, water, and 2 eggs. Spread batter in greased 9x13-inch pan.
Heat cream with chips over medium heat, stirring constantly till chocolate melts; cool slightly. Beat 3 eggs and sugar on medium speed until foamy; stir in chocolate mixture; pour over batter.
Bake at 350° about 45 minutes till topping is set; cool completely. Serve now or chilled; store tightly covered.
