Melt butter over low heat in a saucepan. In mixing bowl, blend peanut butter and sugar. Add melted butter and continue to blend. Stir in cereal. Pile mixture into a lightly greased 9x13-inch pan and spread evenly over bottom of pan.
In a separate saucepan, melt chocolate chips over low heat. Spread melted chocolate evenly over cereal layer. Refrigerate to cool. Cut into bars.
