Combine first 4 ingredients in heavy 3-quart saucepan. Bring to full rolling boil for 6 minutes, stirring frequently. Add chocolate and marshmallow crème. Beat until melted. Add nuts. Pour into buttered 13x9-inch pan. Let stand several hours before cutting. Store in cool place.
