Combine flour, sugar, butter and walnuts in mixing bowl and mix on low for 30 seconds or until crumbly. Press into 9 x 13-inch baking dish. Bake at 350°F for 10 minutes. Cool.
Beat together cream cheese, powdered sugar and 1 cup whipped topping until smooth. Spread onto cooled crust.
Stir together pudding mix and cold milk. Beat for 2 minutes. Let sit for 5 minutes until thickened. Spoon over cream cheese layer. Top with remaining whipped topping. Refrigerate.
