Mix cocoa and sugar. Heat cream in saucepan over medium heat until hot, but not boiling. Stir in chocolate mixture. Beat until smooth. Remove from heat. Stir in vanilla. Transfer to mixer bowl and place in ice water until cool and thick. Remove from ice and beat in butter until fluffy and stiff enough to hold its shape.
Place 1 cake layer on cake plate and spread with 3/4 cup frosting. Repeat with second layer. Spread top and sides with remaining frosting.
